BEATSONTHEGO LICENSE AGREEMENT, TERMS & CONDITIONS

Welcome to BeatsOnTheGo.com. By purchasing, downloading, or using any beat, music production, STEM files, digital downloads, or other content available through this website, you acknowledge that you have read, understood, and agreed to be legally bound by this License Agreement, our Terms & Conditions, Privacy Policy, Refund Policy, and all other policies published on BeatsOnTheGo.com. If you do not agree with these terms, please do not purchase, download, or use any products or services offered through this website.

BeatsOnTheGo.com currently offers two licensing categories: Artist Value Beats and Studio Ready Beats. Although both categories include a Commercial License, each product provides different files, features, and intended uses. It is the purchaser’s responsibility to review each product description and understand the rights granted under the selected license before completing any purchase.

Artist Value Beats are intended to provide independent artists with affordable, professionally produced instrumentals that are ready for immediate recording. Each purchase includes a studio-quality WAV file, MP3 file, Commercial Non-Exclusive License, and instant digital delivery. Artist Value Beats are designed for artists who simply want a finished instrumental without requiring access to the individual production files. Unless otherwise stated within the selected license, Artist Value Beats may be commercially distributed within the usage limits specified by BeatsOnTheGo.com. Purchasing an Artist Value Beat grants you permission to use the instrumental under the terms of this Agreement only and does not transfer ownership of the beat, composition, master recording, copyright, publishing rights, or any other intellectual property.

Studio Ready Beats are designed for artists, recording studios, producers, engineers, and creators who require greater flexibility during the recording and mixing process. Each Studio Ready Beat includes the finished producer mix together with individual 24-bit or 32-bit WAV STEM files that may be imported into compatible Digital Audio Workstations including, but not limited to, Pro Tools, FL Studio, Logic Pro, Ableton Live, Studio One, Cubase, Luna, Reason, and similar professional recording software. These STEM files are provided solely to allow customization of your licensed musical project through professional editing, arranging, mixing, mastering, and production techniques. Studio Ready STEM files are licensed only as part of your purchased project and may not be sold, redistributed, shared, sublicensed, uploaded, or used independently outside the scope of this Agreement.

All music available through BeatsOnTheGo.com is licensed and never sold. Purchasing any product from this website grants only the rights specifically described within the purchased license. All copyrights, publishing rights, composition rights, master recording rights, trademarks, logos, branding, website content, artwork, graphics, music, instrumentals, producer mixes, STEM files, digital downloads, and all related intellectual property remain the exclusive property of BeatsOnTheGo.com and its respective producers unless ownership is transferred through a separate written agreement signed by the copyright owner. Nothing contained within this Agreement shall be interpreted as transferring copyright ownership or any other ownership interest to the purchaser.

Customers are granted permission to record vocals, create finished songs, perform publicly, distribute completed musical works, upload music to streaming platforms, monetize finished recordings, and commercially exploit their completed projects within the limits of the purchased license. You may change the title of your finished song; however, you may not claim ownership of the underlying beat, instrumental production, composition, arrangement, or any portion of the original music created by BeatsOnTheGo.com. All commercially released songs using BeatsOnTheGo productions must provide producer credit wherever producer credits are displayed whenever such credits are reasonably available. Unless otherwise approved in writing, producer credit shall appear as “Produced by BeatsOnTheGo” or another producer credit designated by BeatsOnTheGo.com.

By purchasing from BeatsOnTheGo.com, you acknowledge that the files you receive are licensed exclusively for your own musical projects. You may not resell, sublicense, redistribute, upload, exchange, lease, gift, publish, transfer, or otherwise provide any beat, producer mix, WAV file, MP3 file, STEM file, or other downloadable content to another individual, business, website, marketplace, subscription service, sample library, artificial intelligence platform, or any other third party without prior written authorization from BeatsOnTheGo.com. Uploading any BeatsOnTheGo product to another beat marketplace or allowing another person to commercially exploit the original files is strictly prohibited. Likewise, you may not register the instrumental as your own composition, represent yourself as the original producer, remove copyright notices, or falsely claim authorship of any BeatsOnTheGo production.

The individual STEM files included with Studio Ready Beats are provided exclusively to enhance your recording experience and to give you greater creative flexibility when producing your licensed song. STEM files allow individual sounds and instruments to be adjusted, muted, rearranged, enhanced, or remixed to better fit your vocal performance or production style. While Studio Ready Beats encourage creative freedom within your own licensed project, the individual STEM files themselves remain the copyrighted property of BeatsOnTheGo.com and may not be sold, distributed, uploaded, shared, exchanged, sampled, repackaged, or otherwise made available separately from the licensed project for which they were purchased.

Except for the rights specifically granted within your selected license, you may not reproduce, duplicate, modify for resale, sublicense, rent, lease, transfer, assign, publish, or commercially exploit any BeatsOnTheGo product in a manner that competes with or replaces the original product. Under no circumstances may any purchased beat, instrumental, producer mix, STEM file, or derivative file be uploaded to another beat marketplace, subscription service, sample website, stock music library, social media content library, NFT marketplace, blockchain marketplace, or any platform whose primary purpose is the redistribution or resale of digital music products.

All BeatsOnTheGo products are intended solely for the creation of your own finished musical works. Purchasing a license does not authorize you to sell, transfer, or distribute the original beat, the producer mix, the individual STEM files, or any substantially similar version of the production by itself. Only your completed musical work incorporating your own original vocal performance or additional creative contribution may be commercially exploited within the limits of your purchased license.

Violation of any portion of this License Agreement immediately terminates all rights granted under your purchased license without notice or refund. Upon termination, all permissions granted by BeatsOnTheGo.com immediately cease, and BeatsOnTheGo.com reserves the right to pursue any and all remedies available under applicable copyright law, trademark law, contract law, and any other applicable state, federal, or international laws.

Due to the digital nature of our products, all sales are final. Once a product has been successfully delivered or made available for download, no refunds, exchanges, cancellations, or credits will be issued. Because digital files cannot be returned, every purchase is considered complete upon successful delivery. If you accidentally purchase the same product more than once or experience a verified technical issue that prevents delivery of your purchase, please contact BeatsOnTheGo.com. We will make reasonable efforts to resolve verified technical problems or duplicate purchases at our sole discretion.

Payments are securely processed through PayPal and Stripe. BeatsOnTheGo.com does not collect, process, or store your credit card information. All financial transactions are securely handled by our third-party payment providers using their own security standards, encryption methods, fraud detection systems, and privacy policies. Your payment information is never stored on BeatsOnTheGo.com’s servers.

Downloads are normally available immediately after successful payment authorization. Studio Ready Beats may contain large WAV and STEM files that require additional download time depending upon your internet connection, device, or internet service provider. If your purchase is not received within twenty-four (24) hours, please contact BeatsOnTheGo.com so we may assist you in completing your download. Delays caused by internet outages, payment verification, email providers, file size limitations, or circumstances beyond our control do not constitute grounds for a refund.

If your payment is marked as Pending by PayPal, Stripe, your financial institution, or any payment processor, your download may not become available until payment has been fully authorized and successfully completed. BeatsOnTheGo.com cannot release digital products before payment has been received. If your payment remains pending, please contact your payment provider or financial institution for additional information.

Customers are responsible for ensuring that their use of any BeatsOnTheGo product complies with all applicable copyright laws, licensing requirements, and the terms of this Agreement. BeatsOnTheGo recommends that artists register their completed musical works with the appropriate Performing Rights Organization (PRO), such as ASCAP or BMI, when applicable. Registration helps ensure proper royalty collection for your finished song. If publisher, writer, or producer information from BeatsOnTheGo is required for registration, please contact us before submitting your registration so the appropriate information can be provided when necessary.

BeatsOnTheGo products are intended solely for use in legitimate music production. Unless expressly authorized in writing, no beat, instrumental, producer mix, STEM file, artwork, branding, website content, logo, graphic, or other intellectual property owned by BeatsOnTheGo may be used to develop, train, improve, test, or operate artificial intelligence systems, machine learning models, datasets, generative audio systems, or similar technologies. This restriction includes the use of BeatsOnTheGo products for commercial or non-commercial AI training without prior written permission.

All trademarks, service marks, logos, business names, branding, website content, product descriptions, graphics, and other identifying materials displayed on BeatsOnTheGo.com remain the exclusive property of BeatsOnTheGo unless otherwise noted. No license or ownership rights are granted in any trademark or branding through the purchase of a beat or any other digital product.

BeatsOnTheGo reserves the right to update, modify, discontinue, or replace any product, pricing, licensing terms, website content, or policies at any time without prior notice. Any changes to this Agreement will apply to future purchases made after the updated version has been published on BeatsOnTheGo.com. Purchases completed before an update will continue to be governed by the version of the License Agreement that was in effect at the time of purchase unless otherwise required by applicable law.

BeatsOnTheGo reserves the right to refuse service, cancel orders involving suspected fraud, investigate suspected violations of this Agreement, and take appropriate action to protect its copyrights, trademarks, intellectual property, and business interests. Nothing contained within this Agreement shall limit any rights or remedies available under applicable law.

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any unenforceable provision shall be interpreted as closely as possible to reflect its original intent while remaining enforceable under applicable law.

This License Agreement constitutes the entire understanding between BeatsOnTheGo and the purchaser regarding the products and services offered through BeatsOnTheGo.com and supersedes all prior discussions, understandings, or representations relating to the purchase and use of BeatsOnTheGo products.

By purchasing, downloading, accessing, or using any product from BeatsOnTheGo.com, you acknowledge that you have read this License Agreement, understand its contents, and agree to be legally bound by all Terms & Conditions contained herein. If you do not agree with any portion of this Agreement, you must not purchase, download, or use any BeatsOnTheGo products or services.

## Commercial / TV / Film (Sync) License

BEATSONTHEGO® offers a Commercial / TV / Film (Sync) License for customers seeking to use BEATSONTHEGO® music in television, film, commercials, advertising, streaming services, podcasts, video games, corporate productions, documentaries, social media campaigns, and other commercial projects.

The Commercial / TV / Film (Sync) License is separate from all Standard Beat Licenses and Premium Beat Licenses. Purchasing a Standard or Premium Beat License does not include synchronization rights for commercial productions unless a Commercial / TV / Film (Sync) License is also purchased.

Unless otherwise stated in writing, all Commercial / TV / Film (Sync) Licenses are NON-EXCLUSIVE. BEATSONTHEGO® retains full ownership of the musical composition, master recording, trademarks, copyrights, and all associated intellectual property. Purchasing a Commercial / TV / Film (Sync) License grants the purchaser permission to use the licensed Beat within the terms of the purchased license but does not transfer ownership of the Beat or its copyrights.

Because this license is non-exclusive, BEATSONTHEGO® reserves the right to license the same Beat to multiple customers for different productions. Customers requiring exclusive commercial rights must obtain a separate written agreement from BEATSONTHEGO® before use.

Any commercial use of BEATSONTHEGO® music without the appropriate Commercial / TV / Film (Sync) License may constitute copyright infringement and may result in termination of licensing rights, removal requests, and any legal remedies available under applicable law.
